Welcome to Utopia Chats. These Terms of Use ("Terms") govern your access to and use of the Utopia Chats mobile applications (available on the Apple App Store and Google Play Store), the website at utopiachats.com, and all related services (collectively, the "Service"), operated by Utopia ("Company", "we", "us", or "our").

By creating an account, downloading the app, or otherwise accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into these Terms. We do not knowingly collect personal information from anyone under the age of 18. If we learn that a user is under 18, we will deactivate the account and take reasonable measures to promptly delete such data.

2. Account Registration and Security

To use the Service, you must create an account with a valid email address and password. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account

You may not assign or transfer your account to any other person or entity. We are not responsible for unauthorized access to your account resulting from your failure to safeguard your credentials. We reserve the right to refuse service, terminate accounts, or remove or edit content at our sole discretion.

3. Account Deletion

You may delete your account at any time through the app by navigating to Settings and selecting "Delete Account." Account deletion requires entering your password and typing "DELETE" to confirm. 4. Subscriptions and Payments

Utopia Premium

Utopia offers an optional auto-renewable subscription called "Utopia Premium" that provides access to premium features including extended voice messages, free daily Cosmic Lottery rolls, premium avatar flair, poll creation, and expanded media uploads.

  • Price: $9.99 USD per month (or the equivalent in your local currency as displayed at the point of purchase)
  • Billing cycle: Monthly, charged on the same date each month
  • Auto-renewal: Your subscription automatically renews each month unless you cancel at least 24 hours before the end of the current billing period
  • Payment: Payment is charged to your Apple ID account or Google Play account at confirmation of purchase
  • Cancellation: You may cancel your subscription at any time through your device's subscription management settings (Apple App Store or Google Play Store). Cancellation takes effect at the end of the current billing period, and you will retain access to premium features until that date
  • Free trials: If offered, any unused portion of a free trial period is forfeited when you purchase a subscription
Refunds

Refunds for subscriptions and in-app purchases are handled by Apple (for iOS) and Google (for Android) in accordance with their respective refund policies. To request a refund, please contact Apple Support or Google Play Support directly.

In-App Purchases

The Service may offer additional one-time in-app purchases (such as gifts). These purchases are non-refundable except as required by applicable law or the policies of the platform through which you made the purchase.

5. Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Service, you consent to the collection and use of your information as described in our Privacy Policy.

6. User Conduct

You agree not to use the Service to:

  • Post, transmit, or share content that is unlawful, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with a person or entity
  • Harass, bully, stalk, intimidate, or threaten other users
  • Post spam, unsolicited advertising, or promotional material
  • Upload viruses, malware, or any other harmful code
  • Attempt to gain unauthorized access to other users' accounts or any part of the Service
  • Use the Service in any manner that could damage, disable, overburden, or impair the Service
  • Collect or harvest personal information of other users without their consent
  • Use the Service for any illegal purpose or in violation of any applicable laws

We reserve the right to remove content and suspend or ban users who violate these rules, at our sole discretion and without prior notice.

7. User-Generated Content

You retain ownership of content you create and share through the Service (messages, images, voice messages, videos, polls, and other media). By posting content, you grant Utopia a non-exclusive, worldwide, royalty-free license to use, store, display, reproduce, and distribute your content solely for the purpose of operating and providing the Service. This license terminates when you delete the content or your account, except where the content has been shared with other users or retained as described in our Privacy Policy.

You are solely responsible for the content you post. You represent and warrant that you have all necessary rights to share such content and that it does not infringe upon the rights of any third party.

8. Intellectual Property

The Service, including its design, logos, graphics, software, and all other content created by Utopia, is the property of Utopia and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes in accordance with these Terms. You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service
  • Reverse engineer, decompile, or disassemble the software
  • Remove or alter any proprietary notices or labels
  • Use any content from the Service for commercial purposes without our written permission

9. Third-Party Services and Links

The Service may contain links to third-party websites or integrate with third-party services (including but not limited to YouTube for embedded video playback, Google AdMob for advertising, and Algolia for search). These third-party services are governed by their own terms and privacy policies. We are not responsible for the content, privacy practices, or availability of any third-party services.

By using features that rely on third-party services, you acknowledge and agree that Utopia may share necessary data with those third parties as described in our Privacy Policy.

10. Electronic Communications

By creating an account, you consent to receive electronic communications from us, including push notifications (if enabled on your device), in-app messages, and emails related to the Service. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing. You may opt out of push notifications through your device settings.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. UTOPIA DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED. YOUR USE OF THE SERVICE IS AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UTOPIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

BECAUSE SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SERVICE, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SERVICE.

13. Indemnification

You agree to indemnify, defend, and hold harmless Utopia, its officers, directors, employees, agents, and third-party partners from and against any losses, costs, liabilities, and expenses (including reasonable attorney's fees) arising out of or related to: your use of the Service; any content you post or share; your violation of these Terms; or your violation of any rights of a third party or any applicable law.

14. Dispute Resolution and Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved by binding arbitration pursuant to the Federal Arbitration Act, conducted by a single neutral arbitrator administered by the American Arbitration Association (or a similar arbitration service selected by the parties) in a location mutually agreed upon by the parties. The arbitrator's award shall be final, and judgment may be entered upon it in any court having jurisdiction.

Class Action Waiver: All disputes shall be resolved on an individual basis. You agree that you may bring claims against Utopia only in your individual capacity, and not as a plaintiff or class member in any class, collective, or representative proceeding. The arbitrator may not consolidate more than one person's claims or preside over any form of representative or class proceeding.

15. Termination

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause and with or without notice. Upon termination, your right to use the Service ceases immediately. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to: intellectual property provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Tennessee, USA, without regard to its conflict of law principles. You consent to the exclusive jurisdiction and venue of courts in Tennessee for any matters not subject to arbitration.

17. International Users

The Service is operated from the United States. If you access the Service from outside the United States, you are responsible for compliance with all applicable local laws. You agree not to use the Service in any manner prohibited by applicable laws, restrictions, or regulations.

18. Changes to These Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last updated" date at the top of this page. If we make material changes, we may notify you through the Service or by other means. Your continued use of the Service after any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.

19. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Utopia regarding the Service and supersede all prior agreements, communications, and proposals, whether electronic, oral, or written.
